Mergers & Acquisitions

M&A transactions are at the core of our capabilities. We specialize in providing legal advice to clients on all types of corporate transactions, including mergers, acquisitions, divestments, spin-offs, joint ventures, and other strategic transactions and investments. Our team has deep experience in the field, having advised on the some the most significant and complex transactions in Denmark.

M&A

We advise clients on all aspects of mergers and acquisitions, including planning and structuring transactions, conducting due diligence, drafting and negotiating transaction documentation, procuring W&I insurance, obtaining regulatory approvals, and executing transactions. We work closely with clients to provide strategic advice and guidance throughout the entire transaction process and have experience from transactions across a wide range of industries and sectors.

Private Equity

We advise domestic and international private equity funds and their portfolio companies on all types of transactions from initial investment over add-on acquisitions and reorganizations through exit.

Our work also includes syndications of private equity investments and co-investments alongside private equity funds by institutional and other private investors, where we have substantial experience representing both private equity firms and their co-investors.

Public M&A

We have considerable experience in advising on public takeovers and mergers, covering all corporate and capital market law aspects.

We advise acquirors as well as target companies and their boards in connection with mergers involving public companies, mandatory takeover bids, voluntary public tender offers, and delistings in going private transactions.

Venture Capital

We have broad experience with venture investments at all stages of the emerging company lifecycle, from early-stage seed rounds to later-stage growth equity financings. Our experience extends to representation of emerging companies as well as their investors.

Foundations

We also represent commercial foundations and their subsidiaries in connection with structural changes requiring regulatory permission, including divestments and mergers of material subsidiaries.

Capital Markets
